1. Agreement

By using the StratifyOne website or engaging our services, you agree to these Terms of Service. "Client", "you" and "your" refer to the individual or business purchasing services. "StratifyOne", "we", "us" and "our" refer to StratifyOne Ltd (Company No. 16279215).

2. Services

StratifyOne provides fully managed virtual assistant services on a monthly subscription basis, as well as one-off digital services including website builds, branding kits, and systems builds. Service scope, deliverables, and pricing are as described on our website and confirmed at the point of purchase.

3. Free Trial

New clients may be eligible for a free trial period. The trial allows you to experience our services before committing to a paid plan. Trial terms and duration are confirmed at sign-up. No payment is required during the trial. You may cancel at any time during the trial with no obligation.

4. Payment Terms

• Monthly plans are billed monthly in advance. Payment is due on the same date each month
• One-off services require payment in full before work begins, unless otherwise agreed in writing
• All prices are quoted in GBP and are exclusive of VAT unless stated otherwise
• Late payments may incur a suspension of services until the outstanding balance is settled

5. Client Responsibilities

To ensure effective delivery of services, you agree to:

• Provide clear and timely instructions, access, and materials needed for tasks
• Respond to queries and approvals within a reasonable timeframe
• Not request tasks that are unlawful, unethical, or outside the agreed scope
• Keep login credentials and shared access details secure

6. Confidentiality

We treat all client data and business information as strictly confidential. All assistants are bound by confidentiality agreements. We will not disclose your information to third parties except as outlined in our Privacy Policy or with your written consent.

7. Intellectual Property

• Work produced by StratifyOne for you (websites, branding, systems, documents) becomes your property upon full payment
• We reserve the right to showcase completed work in our portfolio unless you request otherwise in writing
• The StratifyOne name, logo, and website content remain our intellectual property

8. Cancellation & Refunds

• Monthly plans can be cancelled at any time with 30 days' written notice. No refunds are issued for partial months
• One-off services may be cancelled before work commences for a full refund. Once work has begun, refunds are at our discretion based on work completed
• We reserve the right to terminate services with 14 days' notice if terms are breached

9. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability for any claim arising from our services shall not exceed the fees paid by you in the 3 months preceding the claim
• We are not liable for indirect, incidental, or consequential damages, including lost profits or business interruption
• We are not responsible for delays or failures caused by circumstances beyond our reasonable control

10. Revisions & Deliverables

One-off digital services include a specified number of revisions as outlined in the service description. Additional revisions beyond the included allowance may be charged at an agreed rate. Final deliverables are provided in standard digital formats.

11. Governing Law

These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the English courts.

12. Changes to These Terms

We may update these terms from time to time. Continued use of our services after changes constitutes acceptance. Material changes will be communicated with at least 14 days' notice.
